OFFICIAL RULES

NO PURCHASE OR GAME PLAY IS NECESSARY TO ENTER OR WIN THIS SWEEPSTAKES. A PURCHASE OR GAME PLAY WILL NOT IMPROVE YOUR CHANCES OF WINNING.

The "The ADVENTURELAND "EUROPE TRIP" SWEEPSTAKES ("Sweepstakes") starts at 12:01 am Eastern Time ("ET") on 1/17/09 and ends at 11:59 pm (ET) on 2/13/09 for online entry with game play ("Online Entry Period") and on 2/14/09 for the postmarking of a mail-in entry as detailed below. The sponsor of this Sweepstakes is Miramax Film Corp., 161 Avenue of the Americas, New York, NY 10013 (the "Sponsor"). The Sweepstakes shall be subject to these Official Rules, and by entering, all participants agree to be bound by the terms and conditions herein.

ELIGIBILITY: THE SWEEPSTAKES IS OPEN ONLY TO LEGAL RESIDENTS OF THE FIFTY (50) UNITED STATES AND THE DISTRICT OF COLUMBIA, EIGHTEEN (18) YEARS OF AGE OR OLDER AS OF THE DATE OF THEIR ENTRY. Employees and their immediate families (parent, sibling, child or grandparent) of the Sponsor, Pure Digital Inc., Mammoth Advertising, MediaStorm LLC, West Coast Marketing, a division of the Susquehanna Hat Company ("West Coast Marketing"), their respective affiliates, subsidiaries, parent companies and agencies (collectively, the "Promotion Parties") and those living in the household of same (whether related or not) are not eligible to enter or win. A prize won by a minor in his or her legal jurisdiction of residency will be awarded in the name of his or her parent or legal guardian. By entering this Sweepstakes, entrants agree to abide by all terms of these Official Rules.

The laws of the State of New York, United States apply to and govern this Sweepstakes and any claims must be raised and resolved in the Federal or state courts located in New York County, New York, United States.

Sweepstakes is void in Puerto Rico, all U.S. territories and possessions, overseas military installations and where prohibited or restricted by law. False and/or deceptive entries or acts shall render entrants ineligible.

HOW TO ENTER THE SWEEPSTAKES: There are two (2) ways to enter the Sweepstakes; by playing select Adventureland games online or by submitting a mail-in entry as detailed herein:

HOW TO ENTER ONLINE VIA THE ENTRY SITE BY PLAYING ADVENTURELAND GAMES: During the Online Entry Period, you may enter online at http://www.adventurelandthefilm.com (the "Entry Site") by submitting your name and email address, agreeing to the Official Rules, following the entry instructions to register and continuing the entry process to its completion by playing one (1) of the provided online Adventureland games. By completing the foregoing process, you will receive one (1) online entry in the Sweepstakes ("Online Entry").

YOU MAY SUBMIT AS MANY ONLINE ENTRIES AS YOU LIKE, BUT ALL ONLINE ENTRIES MUST BE RECEIVED BY 11:59 PM (ET) ON 2/13/09. THE SPONSOR'S COMPUTER IS THE OFFICIAL TIMEKEEPER FOR THIS SWEEPSTAKES.

HOW TO ENTER BY MAIL WITHOUT PLAYING AN ONLINE ADVENTURELAND GAME: On a postcard, handprint your first and last name, address, city, state, zip code, phone number, age, and (if applicable) e-mail address. Mail the completed postcard entry to the "ADVENTURELAND EUROPE TRIP" SWEEPSTAKES, PO BOX 6041, SHERMAN OAKS, CA 91413. By completing the foregoing you will receive one (1) mail-in entry in the Sweepstakes ("Mail-in Entry").

YOU MAY SUBMIT AS MANY MAIL-IN ENTRIES AS YOU LIKE, BUT ALL MAIL-IN ENTRIES MUST BE POSTMARKED BY 2/14/09 AND RECEIVED BY 2/21/09.

The Promotion Parties and any and all Internet server(s) and access provider(s), and each of their respective affiliates, subsidiaries, parent corporations and advertising and promotional agencies, and all of their officers, directors, shareholders, employees and agents, (collectively, "Releasees") are not responsible for: any incorrect or inaccurate entry information; human errors; technical malfunctions; failures, omissions, interruptions, deletions or defects of any telephone network, computer online systems, computer equipment, servers, providers, or software, including without limitation any injury or damage to participant's or any other person's computer relating to or resulting from participation in the Sweepstakes; inability to access the Entry Site or any pages thereof; theft, tampering, destruction, or unauthorized access to, or alteration of, entries; data that is processed late or incorrectly or is incomplete or lost due to telephone, computer or electronic malfunction or traffic congestion on telephone lines or the Internet or any web site (including the Entry Site) or for any other reason whatsoever; typographical, printing or other errors; late, lost, stolen, mutilated, misdirected or postage-due mail, or any combination thereof. Proof of entering information at the Entry Site or mailing entry is not considered proof of delivery or receipt. Illegible, incomplete, entries in excess of the stated number above and mechanically reproduced entries will be disqualified. All entries become the property of the Sponsor and will not be acknowledged or returned. False, fraudulent or deceptive entries or acts shall render entrants ineligible. By entering the Sweepstakes, entrants affirm that they have read and accepted these Official Rules. The information obtained from the entry will be used by Sponsor and its affiliates unless otherwise noted by the entrant. For more details, please see Sponsor's privacy policy at Entry Site. Sponsor would like to use this information to contact you either by mail or email about special promotions or events. If you prefer not to receive updates of special promotions and/or events, indicate such preference at time of entry. False and/or deceptive entries or acts shall render entrants ineligible. By registering to enter the Sweepstakes, entrant affirms that they have read and accepted these Official Sweepstakes Rules. WINNER SELECTION: One (1) winner ("Winner") will be selected in a random drawing from among all eligible entries received for the Sweepstakes to be held on/about 2/23/09. Random drawing will be conducted by West Coast Marketing, an independent judging organization, whose decisions are final in all matters relating to this Sweepstakes. Winner will be notified by mail, telephone and/or e-mail within ten (10) days of drawing date and Winner (or Winner's parent or legal guardian if Winner is a minor in the jurisdiction in which they reside) will be required to execute and return a notarized Eligibility Affidavit/Release of Liability and (except where prohibited) a Publicity Release and completed IRS W-9 form within fourteen (14) days of issuance of notification or an alternate may at Sponsor's sole discretion be selected in a subsequent random drawing. Winner's travel companion (or Winner if travel companion is the minor child or ward of the Winner) will be required to complete, execute and return a Release of Liability and (except where prohibited) Publicity Release within this same fourteen (14) day deadline. Any prize notification or prize returned to the Sponsor or its fulfillment company as undeliverable for any reason may at Sponsor's sole discretion be awarded to an alternate. Prize will be awarded provided it is validly claimed as described herein, by 4/1/09, after which no alternate winner will be selected, nor unclaimed prize awarded. No substitution by the Winner for his or her prize shall be allowed. All Federal, state, local or other tax liabilities are the sole responsibility of the Winner. Acceptance of the prize constitutes permission (except where prohibited by law) to use the Winner's name, likeness and statements for publicity purposes without additional compensation or limitation.

PRIZE: GRAND PRIZE (One [1] Grand Prize will be awarded): The Grand Prize consists of Winner's choice of either a trip ("Trip") for Winner and a guest to Winner's choice of the following European cities: Paris, France, Rome, Italy or Barcelona, Spain (each a "Destination City a check in the amount of $4,950. Grand Prize Trip consists of the following: (i) round-trip ("r/t") coach class airfare (via airline carrier(s) selected by Sponsor) between the major U.S. gateway city airport closest to the winner's home (as determined by Sponsor) and the Destination City airport selected by Winner; (ii) five (5) nights hotel accommodations (single standard room, double occupancy room and room tax only); (iii) two (2) 7-day EuroRail passes; plus (iv) one (1) "Adventureland" themed FLIP camera. If Winner chooses the Trip as his or her Grand Prize, Trip is subject to the following: Specific air carrier(s), hotels and other Trip specifics are at the sole discretion of the Sponsor or its designee(s). The approximate retail value ("ARV") of the Grand Prize is $4,950.00. The actual value of the Grand Prize Trip may vary depending on city of departure, date and times of travel, Destination City, airfare fluctuations and hotel charges at the time of travel bookings. Actual value of the Grand Prize awarded may be lower or higher at the time it is fulfilled. Any difference between actual value and stated ARV will not be awarded. All meals, ground transfers, gratuities, excursions, insurance, fees, surcharges, service charges or passenger facility charges, incidentals, departure and airport taxes, passport fees, visa fees, telephone charges, purchased goods and any other expenses not specified herein are the sole responsibility of the Grand Prize Winner and his or her travel companion. All travel arrangements are to be administered by Sponsor or its designee(s). Winner must give a minimum of forty-five (45) days advance notice of desired departure. All travel is subject to availability and holiday and other blackout dates apply. Travel must originate and end at the same major U.S. gateway airport. All travel must be completed by 3/1/10. If winner is unable to travel by date indicated, prize will be forfeited in its entirety.

Grand Prize winner and his or her travel companion will be required to travel on identical itineraries including but not limited to the same departure city, departure date, Destination City, EuroRail travel and return date. A minor will not be allowed to participate in any portion of Grand Prize Trip without being accompanied by his or her parent or legal guardian. Grand Prize winner and his or her travel companion will be required to provide all required photo ID and travel documents at time of travel including but not limited to valid passports. No changes will be made to travel details once any element(s) of the travel arrangements have been booked. No frequent flier miles will be earned on any element of prize travel. Prize conditions may be added or modified by Sponsor or its designee. Releasees are not responsible for any changes of any element of Grand Prize travel and Releasees are not liable for any expenses incurred as a consequence of flight cancellation or flight delays. Sponsor will not replace any lost or stolen tickets, travel vouchers or certificates. Travel is subject to capacity controls, availability, blackout dates and certain other restrictions, which may include a Saturday night stay, all of which are subject to change.

No stopovers are permitted on tickets issued as a prize; if a stopover occurs, the prize will terminate and full fare will be charged from the stopover point for the remaining trip segments, including the return. Once hotel, flight and EuroRail arrangements have been confirmed, no changes will be allowed except by Sponsor or its designee.

An unclaimed and/or unused Grand Prize travel package will remain the property of Sponsor or its designee.

Prize is non-transferable or assignable and once issued, may not be redeemed for cash. No prize substitution allowed by the Grand Prize winner except as specified herein. Sponsor reserves the right to substitute a prize of comparable value if advertised prize becomes unavailable. Prize may not be sold, bartered or exchanged by winner. Prize is provided "as is" and without any warranty of any kind. By accepting the prize, the Winner acknowledges compliance with these Official Rules.

The approximate total retail value of all prizes to be awarded in this Sweepstakes is $4,900. The odds of wining are determined by the total number of eligible entries received and are equal regardless of method of entry.

LIMITATIONS ON LIABILITY: Releasees shall not be liable to winner or any other person for failure to supply the prize or any part thereof, by reason of any acts of God, any action(s), regulation(s), order(s) or request(s) by any governmental or quasi-governmental entity (whether or not the action(s), regulation(s), order(s) or request(s) prove(s) to be invalid), equipment failure, terrorist acts, earthquake, war, fire, flood, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any other cause beyond Sponsor's sole control. Releasees shall not be responsible for any cancellations, delays, diversions or substitutions or any act or omissions whatsoever by the air carrier(s), train(s), hotel(s), or other transportation companies or any other persons providing any of these services and accommodations to passengers including any results thereof such as changes in services or accommodations necessitated by same. Releasees shall not be liable for any loss or damage to baggage.

GENERAL: By entering this Sweepstakes, entrants agree that Releasees shall not be liable for personal injuries, death, damages, expenses or costs or losses of any kind resulting from participation or inability to participate in this Sweepstakes or acceptance of or use or inability to use the prize or parts thereof including, without limitation, claims, suits, injuries, losses and damages related to personal injuries, death, damage to or destruction of property, rights of publicity or privacy, defamation or portrayal in a false light (whether intentional or unintentional), whether under a theory of contract, tort (including negligence), warranty or other theory. Winner releases the Releasees from any and all liability and responsibility with respect to a prize (including any property loss, damage, personal injury or death). Winner acknowledges the aforementioned individuals and entities have neither made nor are in any manner responsible for any warranty, representation or guarantee, expressed or implied, in fact or in law, related to the prize.

If for any reason this Sweepstakes is not capable of running as planned, or if this Sweepstakes or any web site associated therewith (or any portion thereof) becomes corrupted or does not allow the proper playing of the Sweepstakes and processing of entries in accordance with these rules, or if infection by computer virus, bugs, tampering, unauthorized intervention, actions by entrants, fraud, technical failures, or any other causes, in the Sponsor's sole opinion, corrupts or affects the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, the Sponsor reserves the right, at its sole discretion, to disqualify any individual implicated in such action and/or to cancel, terminate, modify, or suspend this Sweepstakes or any portion thereof. In the event this Sweepstakes is cancelled, the Sponsor will conduct a random drawing to award the prize from among all eligible, non-suspect entries received prior to the time of the action or event warranting such cancellation. If such cancellation, termination, modification, or suspension occurs, notification will be posted at the Entry Site. ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE (INCLUDING THE ENTRY SITE) OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND/OR CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. If a dispute arises about who submitted an entry on the Entry Site, the entry will be deemed submitted by the authorized account holder of the e-mail account entered. The authorized account holder is deemed the natural person who is assigned to an e-mail address by an Internet access provider, service provider, or other online organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. A potential winner may be requested to provide Sponsor with proof that the potential winner is the authorized account holder of the e-mail address associated with the winning entry and that all eligibility requirements are met.

NOTE: Internet entry must be made by the entrant only at the Entry Site. Entries made by any other individual or any entity, and/or originating at any other web site or e-mail address, including, but not limited to, commercial sweepstakes subscription notification and/or entering service sites, will be declared invalid and disqualified for this Sweepstakes. The use of any device or software to automate the entry process is prohibited.
